Operational Framework & Commercial Supply Agreement
This document sets forth the comprehensive terms governing the relationship between Conkea ("the Company", "We", "Us") and the client ("the Buyer", "You"). By engaging our services, submitting artwork, or fulfilling payment, you enter into a binding contractual agreement governed by the laws of Northern Ireland.
01. Production Entity & Workflow
1.1 In-House Management: All orders are managed through Conkea’s proprietary production workflow. We retain absolute authority over the technical selection of equipment, ink chemistry, and substrate sourcing to ensure the delivery of goods meets our internal quality benchmarks.
1.2 Technical Sovereignty: We reserve the right to alter production methods or equipment usage without notice, provided such changes do not negatively impact the functional specification of the final product.
02. Artwork Integrity & Digital Proofing
2.1 Buyer Liability: The Buyer warrants that all submitted files are technically sound and accurate. Conkea does not perform spelling, grammar, or aesthetic audits. Liability for errors present in the submitted artwork rests solely with the Buyer.
2.2 The Approval Protocol: Production commences immediately upon digital proof approval or "Print-Ready" submission. Once this threshold is crossed, the order is locked into our automated system. Modifications or cancellations are technically and legally impossible beyond this point.
2.3 Technical Standards: Files not meeting our 300DPI / CMYK / 3mm Bleed requirements may be rejected or processed at the Buyer's risk. We accept no liability for "banding," "pixelation," or "colour-crashing" resulting from sub-standard file quality.
03. Industrial Manufacturing Tolerances
The Buyer acknowledges that industrial-scale printing involves physical and chemical variables. The following are accepted as full contractual fulfilment:
- Chromatic Variation: We utilise ISO-calibrated systems; however, a match to a backlit RGB screen is not guaranteed. A colour density variance of +/- 10% is within accepted industrial limits.
- Finishing Deviation: A mechanical tolerance of +/- 2.5mm is standard for cutting, creasing, and folding.
- Quantity Yield: We reserve a 5% margin for over-runs or under-runs. Shortages within this range will be resolved via a pro-rata credit and do not constitute a breach of contract.
04. Claims, Defects & Limitation of Liability
4.1 The 48-Hour Claim Window: Any notification of damage, shortage, or defect must be submitted in writing within 48 hours of delivery. Failure to do so constitutes absolute legal acceptance of the goods.
4.2 Remedy Restriction: In the event of a verified manufacturing defect, Conkea’s liability is limited exclusively to the re-production of the original order. No alternative artwork or specifications may be substituted during a remake.
4.3 Exclusion of Consequential Loss: Conkea shall not be liable for any indirect loss, including loss of profit, loss of business, or costs associated with missed event deadlines. Time is not of the essence in this contract.
05. Logistics & Force Majeure
5.1 Transfer of Risk: Risk passes to the Buyer the moment goods leave our facility. We are not liable for the performance of third-party couriers or logistics providers.
5.2 Operational Continuity: We are not liable for failures caused by events beyond our control, including but not limited to: equipment failure, material shortages, power grid failure, or industrial action.
06. Jurisdiction
This agreement is governed by and construed in accordance with the Laws of Northern Ireland. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Belfast.
